SUCCESS GUARANTEE AGREEMENT
"My goal and task is TO DOUBLE YOUR ROI ·either to increase your revenue and or reducing your expenses, as well as maximising your investment resources·,
within 1 year."


SO, HOW WE WORK?

  • When you have studied and considered my proposal mindfully, and you believe that I am the right candidate to be your Profit Booster, just contact me: doktorjohaneslim@gmail.com to arrange someday to meeting and sharing ideas.
  • Please prepare your financial statement, which indicates your ROI percentage for the last 24 months period, so that we can divide it by 2 to find the annual ROI average percentage. That figure shall be put in our Agreement as the target objective and judgment for the final compensation upon completion of the period.
  • Since two weeks advance payment (from 50% of standard fee) is required, I will submit an invoice for that amount, and you are expected to return a cheque –or transfer to BCA Taman Anggrek a/c.no. 4671221286 for Johanes Lim- with the signed Agreement, before the executing of the project.
  • Soon I start working, I will introduce "Meritorious Management” to your employees to prevent any misunderstanding about the project, and encouraging them to cooperate beneficially, for our mutual benefit.
  • Using informations gathered from a series of surveys, and personal interviews, I deliver an in-depth analysis of your business operations. I'll find out what the current situation is in your business and what your goals and purposes are.
  • I'll conduct a qualitative analysis such as, spotlight problem areas including redundant, misplaced, fragmented, or non-benefit adding activities and resources.
  • I'll conduct a quantitative analysis to your financial aspect to detect any inefficiency and legal misused of the resources at all posts; When I need any detail investigation about deviation post, micro analysis should be practiced.
  • I'll conduct a work-sampling to crosschecking the informations gathered with facts on the field, either in the operations, back office and in the market as well. The such informations needed are: The organization structure (included the functions and job descriptions, personnel number, salary structure, performance appraisal and compensation, attendance and employee productivity records), Organization work-flow (systems and procedures), Sales records and customer records for the last 2 years (included what products were sold to whom, and how many/often)
  • Typically, I will perform the diagnostic within 4 weeks for most clients; and from this analysis, I formulate a series of step-by-step action programs to be discussed with you. As soon as I get an approval from you, I will socialize these action programs to your employees through presentation and or training programs.
  • When your employees have got an understanding about the objectives and programs clearly, we'll implement it thoroughly. I will coach and work hand-in-hand with your employees, day-by-day, until your profit doubled within a given time-frame; Should we need any revision while we implement it, I will do it accordingly
  • I will furnish you the following deliverables: Monthly Periodic Reports describing the progress to date; A reproducible draft to the Final Report, including a characterization of the work performed and a summary of the results produced


Note:

  • To ease and enhance the efficacy of my job, please make sure that you're able to provide those informations or documents needed, before you decide to assign me.
  • For international consulting, we should discuss further regarding tax issue and work permit application.
  • Client should provide me a business-class return air ticket, and accomodation during the assignment period


My Consultation Fee:

  • Rp.80 million per-day + taxes
  • On-off assignment and/or for the longer period; based on 8 hours a day, Monday to Friday
  • Client should prepare and pay any direct expenses incurred for the assignment
  • I work on the basis of an advance payment, and/or 2 weeks advance payment for the long-term contract, conducted after the signature of the contract, but before starting the work
  • While I start working, payment to me as the consultant, should be made by cheque or bank transfer, no later than 7 days subsequent to receipt of my invoice; such invoice is for the advance payment fortnightly work



SUCCESS GUARANTEE AGREEMENT


Definition of Profitability:
A principal goal of business is profitability. Specifically, this means earning a satisfactory profit at an acceptable level of risk. In the broadest and conceptually soundest sense, profitability is expressed by an equation that is the product of two ratios:

Revenue - Expenses Revenue
---------------------------- x --------------- = Return On Investment
Revenue Investment

The first ratio in this equation is the profit margin percentage: (R-E) / R = X %. second ratio is the investment turnover: (R / I) = X times.
It can be found directly by dividing profit (i.e., revenue minus expenses) by investment; but this does not draw attention to the two principal components: profit margin and investment turnover.

By agreeing this definition we are able to start dealing that,
my goal and task is to double your ROI ·either to increasing your revenue and or reducing your expenses, as well as maximising your investment resources·, within 1 year.
Whether I'll get fully paid or not, it's depend on my achievement.


Success Guarantee Agreement


This Agreement made this day…….., date……., and month.... , year.... , by and between:
Name and address of Client's company……, represented by .... , name and position ... , hereinafter referred to as the Client.
Johanes Lim, Ph.D, CPC, CHt, hereinafter referred to as the Consultant.

Witnesseth, whereas the Client and the Consultant wish to enter into an Agreement for the purpose of developing a profit boosting programs. Now therefore, it is mutually agreed that the following objective will be carried out:
"The Consultant will double the Client's ROI within 12 months, that is, from…… %, to at least…….%, starting from the date of... .. month………year……, to the date of.... month……..year .... "

The Consultant Tasks:

  • Examine the current business performance of Client's company to ascertain problem and opportunity areas.
  • Detect any waste or unnecessary costs within entire organization, and make an action program to eliminate it to increase profit
  • Analyze any idle assets and maximise its utilities to improve profit
  • Create an innovative marketing breakthrough to increase sales revenue and profitability
  • Preparing the profit boosting proposal to be discussed with Client
  • Train and coach all of relevan Client's employees to ensure adequate implementation and achievement of the programs
  • Regularly communicate with the designated Client representatives in reviewing and evaluating the progress to date. Working closely, both parties will effectively implement the agreed-upon management changes.
  • Furnish to the Client the following deliverables: Monthly Periodic Reports describing the progress to date; A reproducible draft to the Final Report, including a characterization of the work performed and a summary of the results produced Consultant is an “Independent Consultant” -and not as an agent or employee-, under contract with the Client to provide services in an objective and expedient manner. All professional ethical standards will be upheld, including but not limited to: the confidentiality of all materials, interviews, analysis, and reports until authorization is given to release any of them; the absence of conflict of interest; the charge of fees commensurate with services performed; and the right to withdraw from the assignment if its conduct is being sorely impaired, and/or if the fee is not paid accordingly.



  • The Client Tasks:
  • Appoint a secretary and/or management liaison person for the Consultant
  • Provide any working facilities to ease the Consultant job
  • Responsible for any expenses incurred in the performance of this Agreement
  • Provide whatever internal records, documents, or datas are needed to carry out the consulting tasks
  • Provide the monthly financial statement to the Consultant to be analysed
  • Consent to interviews by the Consultant as needed to complete the data gathering tasks
  • Discuss and approve the Consultant's action programs proposal promptly, in consideration of the timelimitation of the project
  • Evaluate the consulting effort and share the findings with the Consultant
  • Work closely with the Consultant to ensure that all tasks are done in an expedient and effective manner
  • Pay the Consultant's fee on time and accordingly


Term and Conditions:

  • The Consultant task is to double Client's R.O.I within 1 year. As an example, let's say, Client's ROI at the time both party sign an Agreement is 25% per-annum; so the Consultant target is to make that percentage become 50% within 1 year.
  • The Consultant's standard fee is Rp.80 million/day. But for this Success Guarantee Agreement, the Client pays the Consultant just 25% from the standard fee, that is Rp.20 million/day. Should the Consultant is not able to double the ROI within 12 months, the Client needn't to pay the rest 75% of the standard fee. But, if the Consultant succeed to achieve it, the Consultant is entitled to be fully paid. Furthermore, as the reward, the Client also has to pay “Achievement Fee”: Rp.20 million/day times total assignment days in 12 months
  • Consultant works on the basis of two weeks advance payment, conducted after the signature of the Agreement, but before starting the work, with confirm the balance on the achievement of project. the Consultant start working, payment to the Consultant should be made by cheque, or bank transfer, no later than 7 days subsequent to receipt of the Consultant's invoice; such invoice is for the advance payment fortnightly work.


Liabilities and Termination:

  • Please refer to the attached information about The Profit Boosting Programs, before signing this Agreement, to prevent any misunderstanding
  • It is mutually agreed that any benefits achieved in this Agreement are based on both Consultant's recommendations and the Client's actions and decisions.
  • The Consultant is not liable for any damages or failures if the consulting issue is not resolved properly.
  • If the Client defaults by slackening the Consultant's action programs to fruitless result, the Consultant may discontinue the project, and payment from Consultant's standard fee (Rp.80 million/day) is due to the date of termination.
  • If the Consultant defaults by failing to present the action programs proposal and its implementation, Clients payments (25% from standard fee) are made up to the date when notice is given, and the Consultant should soon withdraw from the assignment.
  • The assignment of this Success Guarantee Agreement is for 12 months period, and either party is not allowed to terminate before its completion, unless a force major events (permanent sickness or disability of the Consultant, natural disaster, bankruptcy, etc) and/or purposeful default (as stated above) happened. Written notification should be made 7 days before the effective termination date.


Arbitration:

  • Any dfspute or claim stemming from the execution of services or payment of fee shall attempt to be resolved in an amicable way by both parties to this Agreement. Failing this, any remaining controversy or dispute in connection with this Agreement shall be settled by arbitration accordingly. The award in any arbitration proceeding shall be final, and all expenses incurred for this process should be born by the offender. The judgment thereon may be entered into any court having such jurisdiction on application of either party.


Execution:
This Agreement shall be binding on the parties mentioned for their expressed benefit, and shall be governed by the laws of….
